We are Thinkers Apps Trading - FZCO ("Company," "we," "us," "our"), a company registered in the United Arab Emirates at Building 01 DSO, Dubai, Dubai - UAE 00000, United Arab Emirates.

We operate the mobile application Flags Ai - Dating Bestie (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

Flags AI is a mobile app designed to support women in modern dating by providing AI-generated analysis of dating conversations and profiles, AI-powered text response suggestions, and conversational AI support. The App operates through three core modes: (1) FLAGS mode, which analyzes uploaded screenshots of chats or dating profile bios to identify potential red and green flags, communication patterns, and behavioral signals; (2) RIZZ mode, which generates suggested text responses based on user-selected mood and context; and (3) BESTIE mode, a conversational AI chat for discussing dating situations and receiving supportive responses.

ALL ANALYSIS, SCORES, FLAGS, INTENT PREDICTIONS, MANIPULATION INDICATORS, AND OTHER OUTPUTS GENERATED BY THE APP ARE PRODUCED AUTOMATICALLY BY ARTIFICIAL INTELLIGENCE. THEY ARE PROVIDED SOLELY FOR ENTERTAINMENT AND INFORMATIONAL PURPOSES. THEY DO NOT CONSTITUTE PSYCHOLOGICAL, PSYCHIATRIC, MEDICAL, LEGAL, OR PROFESSIONAL RELATIONSHIP ADVICE OF ANY KIND. THE APP IS NOT A SUBSTITUTE FOR PROFESSIONAL COUNSELING OR THERAPY. ALWAYS TRUST YOUR OWN JUDGMENT AND CONSULT A QUALIFIED PROFESSIONAL FOR SERIOUS CONCERNS.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Thinkers Apps Trading - FZCO, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

The Services are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services.

2. ENTERTAINMENT AND AI DISCLAIMER

Nature of the App

Flags AI is an entertainment and lifestyle application. It is NOT:

• A licensed mental health or psychological services provider

• A medical device or medical service

• A professional relationship counseling service

• A substitute for therapy, counseling, or professional advice

• A diagnostic tool for any psychological condition

The App is designed to provide entertainment, general informational support, and AI-generated perspectives to help users feel more confident in their dating lives. All outputs are generated automatically by artificial intelligence and reflect pattern-recognition analysis only.

AI Limitations and Accuracy

All analysis, red flag scores, green flag scores, toxicity scores, manipulation scores, obsession scores, intent predictions, and any other outputs generated by the App:

• Are produced by artificial intelligence and may be incomplete, inaccurate, or misleading

• Are based solely on the text, images, or information you provide to the App

• Do not account for context, nuance, cultural differences, or information not provided

• Should NOT be used to make serious life decisions about relationships

• Should NOT be used to accuse, confront, or make judgments about other people

• Are for entertainment and personal reflection purposes only

No Guarantee of Accuracy

We make no representations or warranties that any analysis, flag assessment, score, suggestion, or other output generated by the App is accurate, complete, reliable, or suitable for any particular purpose. The AI may produce results that are incorrect, biased, or inappropriate. You use the App at your own risk.

User Responsibility

You are solely responsible for how you use the information and suggestions provided by the App. We are not responsible for any decisions you make based on App outputs, including but not limited to decisions about relationships, confrontations with other individuals, or emotional responses to App-generated analysis.

3. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws and treaties in the United States and around the world.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services solely for your personal, non-commercial use.

Except as set out in this section, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

User Submissions

When you upload screenshots, text, images, or other content to the App for analysis ("Submissions"), you represent that you have the right to share such content and that doing so does not violate any third party's privacy or other rights. You retain ownership of your Submissions. By submitting content to the App, you grant us a limited license to process that content solely for the purpose of providing the Services to you.

You must not upload content that contains other people's private information without their consent, including private messages or personal photographs of third parties, unless you have the legal right to do so.

4. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) you have the legal capacity and you agree to comply with these Legal Terms; (2) you are not under the age of 13; (3) you are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Services; (4) you will not access the Services through automated or non-human means; (5) you will not use the Services for any illegal or unauthorized purpose; and (6) your use of the Services will not violate any applicable law or regulation.

You further represent that you will not upload screenshots, messages, or other content containing personal information of third parties without their knowledge or consent in violation of applicable privacy laws.

5. PRODUCTS

All products and subscription plans are subject to availability. We reserve the right to discontinue any products or subscription plans at any time for any reason. Prices for all products and subscription plans are subject to change.

6. PURCHASES AND PAYMENT

All purchases and subscriptions are processed through the Apple App Store. We accept the forms of payment supported by Apple.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. All payments shall be processed in the currency determined by the Apple App Store for your region. We reserve the right to change prices at any time.

7. SUBSCRIPTIONS

Subscription Plans

We currently offer the following subscription option, subject to change:

• Weekly subscription: $9.99 per week

Additional subscription tiers may be offered from time to time, including annual and lifetime options. Current pricing is displayed in the App at the time of purchase.

Billing and Renewal

Your subscription will continue and automatically renew unless canceled. Subscriptions are billed through the Apple App Store and automatically renew at the interval selected unless cancelled in the App Store account settings before the end of the current billing period.

Free Trial

We may offer a free trial to new users. The account will be charged according to the user's chosen subscription at the end of the free trial unless canceled before the trial period ends.

Cancellation

Users can cancel their subscription or free trial at any time through their Apple App Store account settings. Cancellations must be made before the end of the current billing period to avoid renewal charges. If you have any questions, please email us at support@flagsai.app.

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any price changes in accordance with applicable law.

8. REFUNDS POLICY

All purchases made through the Apple App Store are subject to Apple's refund policies. We generally do not offer refunds outside of the policies set by Apple. If you believe you are entitled to a refund, please contact Apple directly through their standard refund process or contact us at support@flagsai.app for assistance.

9. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

• Use the App to harass, stalk, threaten, or harm any individual

• Upload screenshots or personal information of third parties in violation of their privacy rights or applicable privacy laws

• Use the App to make accusations, confront, or harm other individuals based on AI-generated analysis

• Attempt to deceive others by presenting AI-generated analysis as professional psychological assessment

• Use the Services for any unlawful purpose or in violation of any laws

• Circumvent, disable, or otherwise interfere with security-related features of the Services

• Attempt to reverse engineer, decompile, or disassemble any portion of the App

• Upload any content that is illegal, defamatory, obscene, or that infringes any third party's intellectual property rights

• Use the Services to collect or compile personal data about other users without their consent

10. USER GENERATED CONTRIBUTIONS

The Services may allow you to submit content including uploaded screenshots and chat messages for analysis. You are solely responsible for all content you submit. You represent that all content you submit is accurate to the best of your knowledge and does not violate any third party's rights.

We reserve the right to remove any content that violates these Legal Terms or that we deem inappropriate in our sole discretion.

11. CONTRIBUTION LICENSE

By uploading content to the App for analysis, you grant us a limited, non-exclusive license to process, transmit, and analyze that content solely for the purpose of providing the Services. This license does not grant us the right to sell or otherwise commercialize your personal content.

12. MOBILE APPLICATION LICENSE

Use License

If you access the Services via the App, we grant you a revocable, non-exclusive, non-transferable, limited license to install and use the App on wireless electronic devices owned or controlled by you, and to access and use the App on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Legal Terms.

Apple App Store Terms

The following terms apply when you access the App through the Apple App Store: (a) the license granted is limited to a non-transferable license to use the App on Apple-branded products; (b) Apple has no obligation to furnish maintenance or support services with respect to the App; (c) in the event of any failure to conform to any applicable warranty, you may notify Apple for a refund of the purchase price; (d) Apple is not responsible for addressing any claims by you or any third party relating to the App.

13. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates these Legal Terms; (3) refuse, restrict access to, limit availability of, or disable any of your Contributions or any portion thereof; (4) remove from the Services or otherwise disable all files and content that are excessive in size; and (5) otherwise manage the Services in a manner designed to protect our rights and property.

14. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy at support@flagsai.app. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United Arab Emirates. If you access the Services from any other region of the world, by continuing to use the Services, you are transferring your data to the UAE and you agree to have your data transferred to and processed in the UAE.

15. COPYRIGHT INFRINGEMENTS

We respect the intellectual property rights of others. If you believe that any material available through the Services infringes upon any copyright you own or control, please promptly notify us at support@flagsai.app with details of the alleged infringement.

16. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action.

17. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

18. GOVERNING LAW

These Legal Terms shall be governed by and defined following the laws of the United Arab Emirates. Thinkers Apps Trading - FZCO and yourself irrevocably consent that the courts of the United Arab Emirates shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

19. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms, the parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other.

Binding Arbitration

Any dispute arising out of or in connection with these Legal Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber. The number of arbitrators shall be one. The seat of arbitration shall be Dubai, UAE. The language of the proceedings shall be English. The governing law of these Legal Terms shall be the substantive law of the UAE.

Restrictions

The parties agree that any arbitration shall be limited to the dispute between the parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity.

20. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions that may relate to the Services, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

21. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES OR MOBILE APPLICATIONS LINKED TO THE SERVICES AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (5) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, AND/OR (6) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES.

WE SPECIFICALLY DISCLAIM ANY RESPONSIBILITY FOR ACTIONS YOU TAKE OR DECISIONS YOU MAKE BASED ON AI-GENERATED ANALYSIS, FLAG SCORES, MANIPULATION SCORES, INTENT PREDICTIONS, OR ANY OTHER OUTPUT GENERATED BY THE APP. THE APP IS FOR ENTERTAINMENT PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE.

22. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE ONE (1) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

23. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties set forth in these Legal Terms; (4) your violation of the rights of a third party, including but not limited to privacy rights; or (5) any harmful act toward any other user of the Services.

24. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

25. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing.

27. MISCELLANEOUS

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them.
